Terms of Service

These Terms of Service ("Terms") govern your access to and use of Trazomo's website, applications, and learning services (the "Services"). By using the Services, you agree to these Terms.

1. Contracting Party

The Services are provided by Orchestrate IQ, LLC, located at 643 N York St, Suite 70, Elmhurst, IL 60126 ("Trazomo," "we," "us").

2. Eligibility and Accounts

You must be at least 18 years old to use the Services.
You must provide accurate registration details and keep credentials secure.
You are responsible for all activity under your account unless caused by our security failure.
Authentication may be provided via email/password or third-party OAuth providers such as Google.

3. Acceptable Use

You agree not to:

Upload unlawful content or content that infringes rights of others.
Attempt to disrupt, probe, or bypass security controls.
Use the Services to develop competing abusive or illegal systems.
Submit confidential, privileged, trade secret, or highly sensitive personal data into AI features without lawful authorization and risk controls.

4. AI Features and Important Limits

AI outputs can be inaccurate, incomplete, or outdated and must be independently reviewed by a qualified human.
The Services provide educational tooling and do not constitute legal advice, legal representation, or professional services.
You remain responsible for decisions, filings, client advice, and downstream use of any output.

5. User Content

You retain rights in content you submit. You grant Trazomo a limited worldwide, non-exclusive license to host, process, and display your content as needed to provide, maintain, secure, and improve the Services.

6. Payments

Paid features are processed through Stripe.
Pricing, taxes, and billing terms are presented at checkout and may vary by jurisdiction.
Except where required by law, fees are non-refundable once services are delivered.

7. Intellectual Property

The Services, including platform content, software, branding, and course structure, are owned by Trazomo or its licensors and are protected by applicable intellectual property laws.

8. Suspension and Termination

We may suspend or terminate access for material breaches, security risk, fraud, legal compliance requirements, or abuse of the Services.

9. Warranties Disclaimer

The Services are provided "as is" and "as available" to the extent permitted by law. We disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Trazomo is not liable for indirect, consequential, exemplary, special, or punitive damages, or for lost profits, revenues, goodwill, or data.

To the maximum extent permitted by law, Trazomo's aggregate liability for all claims related to the Services will not exceed the greater of (a) amounts you paid to Trazomo for the Services in the 12 months before the event giving rise to liability, or (b) USD $100.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. You and Trazomo agree to the exclusive jurisdiction of (a) state courts in Cook County, Illinois and (b) the U.S. District Court for the Northern District of Illinois, for disputes arising out of or relating to these Terms or the Services.

12. Changes to Terms

We may update these Terms. Material changes will be posted with a new effective date and additional notice where required.
